TRADE.FAST — TERMS OF USE

These Terms of Use ("Terms") are a binding agreement between 21M Labs Inc., a corporation organized under the laws of the Republic of Panama ("Trade.Fast," "we," "us," or "our"), and each user ("you" or "User") who accesses or uses the Trade.Fast interfaces, websites, APIs, software clients, smart contracts, and related tools and services (collectively, the "Platform"). The Platform enables privacy-preserving, automated market maker ("AMM") functionality for swapping and providing liquidity in assets issued on, or bridged to, the Canton Network ("Canton").
BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
These Terms include important provisions such as warranty disclaimers, limitations of liability, arbitration, and a class action waiver.
1. Acceptance; Eligibility; Changes
1.1 Acceptance
By using the Platform (including interacting with the smart contracts, UI, or APIs) or by clicking "I Agree," you represent and warrant that: (a) you are at least the age of majority and legally competent in your jurisdiction; (b) you have full power to enter into these Terms; and (c) if you act for an entity, you are authorized to bind that entity, and "you" includes that entity.
1.2 Eligibility; Restricted Use
You may not use the Platform if: (a) doing so is illegal in your location; (b) you are on any sanctions list (including OFAC SDN, EU, UK, UN, or similar) or are located in a comprehensively sanctioned jurisdiction; (c) you are prohibited under AML/CTF, export control, or financial services laws; or (d) you are otherwise barred from using the Platform under these Terms. You are solely responsible for ensuring that your use is lawful.
1.3 Changes to Terms
We may update these Terms at any time by posting the revised version with a new "Last Updated" date. Changes apply prospectively. Continued use after changes means you accept them.
2. What Trade.Fast Is (and Is Not)
2.1 Non-Custodial AMM
Trade.Fast is non-custodial software and a set of smart contracts. We do not take possession of or control your private keys or assets, and we cannot reverse transactions. You are solely responsible for your wallets, credentials, security practices, and blockchain interactions.
2.2 Compliant Privacy
Trade.Fast is designed with privacy-preserving transaction flows aligned to institutional compliance needs (the "Compliant Privacy" feature set). Without limiting Section 7 (Disclaimers), Compliant Privacy may include techniques intended to minimize on-chain information leakage consistent with applicable laws and with regulated disclosures when legally required. We do not promise anonymity. Where legally compelled, we may cooperate with competent authorities as permitted by law (see Section 9).
2.3 Institutional-Grade Design
The Platform provides features intended for professional and institutional users (e.g., policy-configurable access, audit hooks, routing, pool controls). Nothing herein constitutes investment advice, broker-dealer services, or portfolio management (see Section 7.3).
2.4 Canton Network; Third-Party Dependencies
The Platform interacts with Canton and may rely on third-party issuers, bridges, analytics, or oracles ("Third-Party Services"). We do not control the Canton Network or Third-Party Services and are not responsible for their performance, security, continuity, accuracy, or legal compliance.
3. Using Trade.Fast
3.1 Access; Limited License
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Platform for lawful purposes. We reserve all rights not expressly granted.
3.2 KYC/Onboarding; Institutional Access Controls
Certain pools, assets, or features (including Liquidity Rewards) may require KYC/AML onboarding or other eligibility checks. We (or issuers/pool operators) may restrict or revoke access at any time for legal, compliance, risk, or operational reasons.
3.3 Supported Assets; Token Issuers
Availability of assets depends on issuers and your eligibility with such issuers. Trade.Fast does not issue tokens and is not responsible for token issuer acts/omissions, smart-contract semantics, redemptions, or credit/counterparty risk.
3.4 Fees
Trading Fees: Swaps may incur pool-level fees (e.g., x% of notional) and network fees.
LP Fees: Liquidity providers ("LPs") may earn a pro-rata share of pool trading fees; parameters are set at the pool level and may change via governance/administration or contract upgrades as applicable.
Administrative Fees: We or pool operators may take protocol-level or administrative fees.
All fees are disclosed in-app or in pool parameters at time of use and are final once a transaction is mined/committed.
3.5 Liquidity Provision; Impermanent Loss
Providing liquidity carries material risks, including impermanent loss, adverse selection, low utilization, smart-contract failures, and peg/issuer failures. You should understand pool parameters, pricing curves, and custody design before depositing.
3.6 Upgrades; Pauses
We may upgrade, pause, disable, or deprecate Platform components (including smart contracts/UI/APIs) for security, legal, or operational reasons, with or without notice. Pauses may affect deposits, withdrawals, or swaps.
3.7 Prohibited Conduct
You agree not to: (a) use the Platform unlawfully (e.g., laundering, sanctions evasion, market manipulation, fraud); (b) interfere with or attack the Platform or networks (e.g., DDoS, exploits, malware); (c) reverse engineer or extract source code except to the extent allowed by applicable law; (d) bypass access controls or rate limits; (e) infringe IP rights; or (f) use automated means that degrade service or violate posted API terms.
4. Liquidity Rewards & Incentives
4.1 Rewards Overview
The Platform may support rewards ("Rewards") for LPs or traders (e.g., fee rebates, protocol tokens, third-party token incentives). Rewards are not guaranteed and may be modified, suspended, or terminated at any time.
4.2 Eligibility; Calculation; Distribution
Eligibility criteria, calculation methodology (including snapshots, weighting, and rounding), vesting/lockups, and distribution schedules may be disclosed in-app or on supporting docs at the time of the campaign. We may correct mistakes and adjust distributions at our reasonable discretion.
4.3 Taxes
You are solely responsible for taxes arising from Rewards or trading activity and must maintain any required tax forms/IDs. We make no tax representations.
5. Intellectual Property; Feedback; Open-Source
5.1 IP Ownership
The Platform (including software, UI, design, documentation, trademarks, and content) is owned by Trade.Fast or its licensors. Except for the limited license in Section 3.1, no rights are granted.
5.2 Feedback
You grant us a worldwide, perpetual, irrevocable, royalty-free license to use suggestions, ideas, or feedback you provide, without restriction or attribution.
5.3 Open-Source
Certain components may be open-sourced and governed by their own licenses. In case of conflict between an open-source license and these Terms for that component, the open-source license controls for that component's use.
6. Data; Privacy; Confidentiality
6.1 Platform Data
We may process technical and usage data for security, performance, analytics, and compliance purposes, in accordance with our Privacy Notice (if published) and applicable law.
6.2 Compliant Privacy; Disclosures
Compliant Privacy aims to reduce public traceability while preserving lawful transparency. We may disclose information to competent authorities when legally required (see Section 9). We do not sell personal data.
6.3 Institutional Controls
Institutional users may request additional audit logs or attestations (subject to feasibility and applicable law). Any non-public documentation shared by Trade.Fast is confidential unless otherwise agreed.
7. Disclaimers
7.1 "As Is"
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, SECURITY, ERROR-FREE OR UNINTERRUPTED OPERATION, OR COMPATIBILITY WITH YOUR SYSTEMS.
7.2 Network, Smart Contract, and Issuer Risk
WE DO NOT CONTROL CANTON, TOKEN ISSUERS, OR THIRD-PARTY SERVICES. YOU ASSUME ALL RISKS OF SMART CONTRACT VULNERABILITIES, NETWORK FAILURES, FORKS, BRIDGING ERRORS, ORACLE FAILURES, CUSTODY FAILURES, KEY LOSS, FRONTRUNNING/MEV, LIQUIDITY SHORTFALLS, IMPERMANENT LOSS, AND REGULATORY CHANGES.
7.3 No Advice; No Brokerage
NOTHING ON THE PLATFORM CONSTITUTES LEGAL, TAX, ACCOUNTING, OR INVESTMENT ADVICE. WE ARE NOT A BROKER-DEALER, EXCHANGE (AS DEFINED UNDER ANY SPECIFIC JURISDICTION'S LAW), ATS, MTF/OTF, CUSTODIAN, INVESTMENT ADVISER, OR PAYMENT SERVICE PROVIDER.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, GOODWILL, DATA, OR DIGITAL ASSETS; OR DAMAGES DUE TO NETWORK/SMART- CONTRACT FAILURES OR UNAUTHORIZED ACCESS.
Some jurisdictions do not allow certain limitations; where prohibited by law, those limitations do not apply.
9. Compliance; Investigations; Sanctions
We may (but are not obligated to) implement compliance measures, including user or transaction screening, geofencing, and cooperation with lawful requests. We may suspend, restrict, or terminate access or withhold distributions if we reasonably believe it is necessary for legal or risk reasons. We may disclose information as required by applicable law, regulation, court order, or competent authority.
10. Indemnification
You will defend, indemnify, and hold harmless Trade.Fast and its affiliates, and each of their officers, directors, employees, and agents from and against any claim, loss, liability, damage, cost, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Platform; (b) your violation of these Terms or applicable law; (c) your interaction with assets, pools, issuers, or Third-Party Services; or (d) any dispute between you and another user or third party.
11. Suspension; Termination
We may suspend or terminate your access at any time, with or without notice, for any reason, including legal/compliance concerns, operational risk, or breach of these Terms. Upon termination, the license in Section 3.1 ends. Sections that by their nature should survive (including 4, 5, 6, 7, 8, 9, 10, 12–15) will survive.
12. Notices; Electronic Communications
You consent to receive notices and communications electronically (e.g., via Platform UI, website posting, or email). If we provide an email contact for notices, use account@trade.fast (or another address we designate on the site). Keep your contact details current.
13. Governing Law; Arbitration; Class Action Waiver
13.1 Governing Law
These Terms and any dispute are governed by the laws of the Republic of Panama, without regard to conflict-of-law rules.
13.2 Arbitration
Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding, individual arbitration in Panama City, Panama, administered by a recognized arbitral institution under its rules. The language shall be English (unless otherwise required by law). The arbitrator may award any relief that a court could, consistent with these Terms.
13.3 Opt-Out
You may opt out of arbitration within 30 days of first agreeing to these Terms by sending written notice to legal@trade.fast with your name, entity (if any), and a clear statement opting out of arbitration. If you opt out, you agree to the exclusive jurisdiction of the courts of Panama City, Panama.
13.4 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TRADE.FAST WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. ONLY INDIVIDUAL CLAIMS MAY BE ARBITRATED.
14. Export; Anti-Corruption; Sanctions
You represent and warrant that you will comply with all export controls, AML/CTF, anti-bribery, and sanctions laws applicable to your use of the Platform. You will not export or re-export software or technical data in violation of applicable law.
15. Miscellaneous
Entire Agreement. These Terms are the entire agreement between you and Trade.Fast regarding the Platform and supersede prior agreements.
Assignment. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, merger, asset sale, or by operation of law.
Severability. If any provision is invalid, the remainder remains enforceable, and the invalid provision will be replaced by an enforceable provision that most closely reflects the original intent.
No Waiver. Failure to enforce a provision is not a waiver.
Force Majeure. We are not liable for delay or failure due to events beyond our reasonable control (e.g., network failures, cyberattacks, acts of God, regulatory actions).
Headings. Headings are for convenience only.
Language. The English version governs.
Third-Party Beneficiaries. None, unless expressly stated.
Trademarks. "Trade.Fast" and related marks are our trademarks. "Canton" and related marks are the property of their respective owners and are used for descriptive purposes only.

Annex A – Risk Summary (Non-Exhaustive)
- Smart-Contract Risk: Bugs or vulnerabilities can lead to loss of funds.
- Network Risk: Canton or dependent networks/bridges/oracles may fail, fork, or be attacked.
- Liquidity/Price Risk: Impermanent loss, slippage, and volatile pricing are inherent in AMMs.
- Issuer/Credit Risk: Token issuers may fail to honor redemptions or misconfigure tokens.
- Regulatory Risk: Laws can change; features may be restricted or paused.
- Operational Risk: Upgrades/pauses can impact access and timing of transactions.
- Privacy Limitations: Compliant Privacy does not guarantee anonymity and may be subject to lawful disclosures.
Annex B – API & Rate-Limit (If Applicable)
If you use APIs: (a) comply with posted documentation; (b) do not exceed rate limits; (c) do not use APIs to degrade service or circumvent controls; (d) we may revoke API access at any time.
